These General Terms and Conditions ("Terms") govern all professional services provided by SOLPRIX LLP, a Limited Liability Partnership registered under the Limited Liability Partnership Act, 2008, India ("Solprix", "we", "us", or "our"). These Terms apply to all clients, partners, institutions, and organizations ("Client" or "you") engaging Solprix for consulting, coordination, advisory, research, design, or facilitation services, unless otherwise agreed in writing.
By engaging Solprix, you acknowledge that you have read, understood, and agreed to these Terms.
1.1 Solprix provides professional services including, but not limited to:
Consulting and advisory services
Program design and coordination
Research, evaluation, and documentation
Learning experience design and facilitation
Logistical coordination and stakeholder liaison
1.2 Solprix’s role is strictly limited to the scope expressly agreed in writing (proposal, agreement, or budget). Solprix does not provide custodial, supervisory, guardianship, medical, security, travel, or insurance services unless explicitly stated in a separate written agreement.
Solprix acts at all times as an independent contractor. Nothing in these Terms or any engagement shall be construed to create an employer–employee relationship, partnership, joint venture, or agency relationship between Solprix and the Client.
The Client is responsible for:
Providing accurate, complete, and timely information required for service delivery
Ensuring compliance with applicable laws, institutional policies, and ethical standards
Securing necessary approvals, permissions, visas, insurance, and safeguards for participants (if any)
Solprix shall not be responsible for delays or outcomes arising from incomplete or inaccurate information provided by the Client.
4.1 Fees shall be as agreed in writing between Solprix and the Client.
4.2 Unless otherwise stated, all fees are exclusive of indirect taxes applicable in India and inclusive of taxes applicable in the Contractor’s jurisdiction.
4.3 Invoices shall be payable within the timeline specified in the applicable agreement. Delayed payments may result in suspension of services.
Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information exchanged during the engagement. Confidentiality obligations shall survive the termination or completion of services.
6.1 Unless otherwise agreed in writing, all work products created specifically for the Client shall vest in the Client.
6.2 Solprix retains ownership of its pre-existing intellectual property, methodologies, frameworks, templates, tools, and know-how.
6.3 Solprix may reuse general, non-confidential knowledge, skills, and experience gained during the engagement.
Solprix does not assume custody, supervision, guardianship, or duty of care for any individual participants, students, or third parties involved in programs or activities associated with the Client.
Engagements involving field-based, travel-intensive, or community-engaged activities inherently involve risks, including but not limited to travel incidents, health issues, environmental conditions, and third-party interactions. Such risks are assumed by the Client and/or participants.
To the maximum extent permitted by law:
Solprix shall not be liable for personal injury, illness, death, loss of property, or indirect, incidental, consequential, or punitive damages.
Solprix shall not be liable for acts or omissions of participants, students, third-party vendors, or partner organizations.
Solprix’s total aggregate liability, if any, shall be limited to the fees actually received by Solprix for the relevant services.
The Client agrees to indemnify, defend, and hold harmless Solprix LLP, including its partners, employees, consultants, and representatives, from and against any claims, losses, damages, liabilities, or expenses (including reasonable legal fees) arising out of:
acts or omissions of participants or third parties;
violation of laws, policies, or instructions by participants;
claims resulting from third-party services or vendors;
medical emergencies, personal decisions, or misrepresentations by participants;
the Client’s breach of these Terms or any applicable agreement.
This indemnity shall survive termination or completion of services.
Solprix may assist in coordinating third-party services such as transport, accommodation, venues, or field visits. Solprix does not control or guarantee such services and shall not be liable for the acts or omissions of third-party providers.
Solprix does not provide health, travel, accident, liability, or participant insurance. The Client is responsible for ensuring adequate insurance coverage where required.
Either party may terminate an engagement in accordance with the applicable agreement. Fees for services rendered up to the date of termination shall remain payable.
These Terms shall be governed by and construed in accordance with the laws of India. The courts at Chandigarh shall have exclusive jurisdiction.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Solprix may update these Terms from time to time. The latest version will be made available on the Solprix website. Continued engagement after updates constitutes acceptance of the revised Terms.
